Talent (Standard) Account — Terms & Conditions

Joining dykaw™ as Talent is always free — you never pay to be invited, register, or make introductions. You can be introduced to agencies, and if an agency chooses to say thank you for a successful placement, that's a private, voluntary, non-cash arrangement between you and them — dykaw™ never takes a cut and never arranges it.

1. Introduction

These Terms & Conditions ("Terms") govern your use of the dykaw™ Standard account. By creating or using a Standard account, you agree to these Terms.

2. Who We Are

dykaw™ is an invite-only platform providing secure access to personalised services. We act as the Data Controller for your personal data.

dykaw™ is a trading name of Parware LTD, a company registered in England and Wales under company number 8432317. Our registered office address is at 6 Skye Close, Nuneaton, CV10 7LW.

3. Eligibility & Invite-Only Access

You may only join dykaw™ through a valid invite. Invites are issued by existing users or authorised administrators. We may refuse access if an invite is invalid, misused, or revoked.

To create a Standard account, you must provide accurate information, including a valid email address. You must keep your login details secure.

By uploading or submitting any content, profiles, graphics, logos, or notes to the platform, you warrant that you own the intellectual property rights to that material and that it does not contain unlawful, abusive, defamatory, discriminatory, hateful, or otherwise harmful content. You must not submit content that infringes the rights of others or breaches UK law, including content that is racist, sexist, harassing, libellous, or threatening.

You grant dykaw™ a non-exclusive, worldwide, royalty-free licence to host, display, and process this content strictly for the delivery of the platform's services. We may remove or restrict access to any content that breaches these Terms or poses a risk to users or the platform.

You agree to indemnify dykaw™ in full against any third-party claims, legal actions, or damages arising from content you upload, including unlawful, defamatory, discriminatory, or infringing material.

9. Referrals, Rewards, and Goodwill Gifts

9.1 Talent Referrals

Standard users ("Talent") may introduce colleagues or contacts to agencies using dykaw™. This referral process is entirely free and voluntary. Talent is never charged for:

Agencies may, at their discretion, offer voluntary referral rewards or goodwill gifts directly to Talent when a successful introduction or placement occurs. These rewards are private arrangements between the agency and the Talent and follow standard industry referral practices.

Agencies may, from time to time, offer physical goodwill gifts to dykaw™ or its employees (for example, a crate of wine) in recognition of successful placements. These gifts must be:

Any introductions, referrals, placements, or private reward structures are entirely independent contracts between those third parties. dykaw™ accepts zero liability for any loss, damage, breach of contract, or employment dispute arising directly or indirectly from introductions made on the platform.

Nothing in these Terms limits rights you have under UK law.

Agency (Pro) Account — Terms & Conditions

Pro accounts are for agencies, invite-only, and billed monthly based on usage — dykaw™ never touches your card details, since payment is by bank transfer only. An order confirmation is sent the moment you use a paid feature, but that's just a receipt, not a bill — no money is taken until the monthly invoice. Referral rewards to Talent work the same way as on the Standard side: private, voluntary, non-cash-to-dykaw™ arrangements.

9.5 Third-Party Relationship Disclaimer

dykaw™ acts strictly as an independent, passive introduction platform. All introductions, interactions, placements, or subsequent commercial contracts are strictly private arrangements solely between the respective Agency and Talent. dykaw™ is not a party to, and holds zero liability or responsibility for, any employment relationship, freelance engagement, contract breach, or unpaid external referral rewards.

10. Payments and Billing

10.1 Billing Model

dykaw™ Pro uses a usage-based billing model. We do not process payments directly on the platform and we do not store any credit card, bank, or payment information.

At the end of each calendar month, dykaw™ will generate an invoice summarising:

Invoices are delivered to the billing email associated with your account.

Agencies will receive an order notification of any purchase made. The orders sent to the agencies' billing email are not invoices, they are for information and confirmation purposes only — no payment is taken at the point an order is made.

10.2 Payment Terms

Invoices must be paid within 14 days of the invoice date. If payment is not received within this period, dykaw™ may:

10.4 Disputes

If you believe an invoice is incorrect, you must notify us within 7 days of receiving it. We will review the invoice and provide clarification or correction where appropriate.

Payment is by bank transfer to Parware's business account. dykaw™ does not use a card payment provider and does not process payments directly on the platform — no card, bank, or payment details are ever entered into, or handled by, the application itself.

Our total aggregate liability under these Terms shall not exceed the total fees paid by you to dykaw™ in the 12 months preceding the claim.
